SOCIAL MEDIA MARKETING TERMS AND CONDITIONS


OVERVIEW

These Social Media Marketing Terms and Conditions (“Agreement”) govern the Social Media Marketing services (“Services”) provided by Outline Social Marketing Ltd (“Outline Social Marketing”, “OSM”, “we”, “us”, “our”), a company registered in England and Wales (Company Number: 16956014), with its registered office at 41 Worsley Road, Farnworth, BL4 9LR, United Kingdom.

By subscribing to our Services via https://joinosm.co.uk, you (“Client”, “you”, “your”) agree to be bound by this Agreement, together with our Website Terms and Conditions, Privacy Policy, and Cookie Policy. Where there is any conflict, this Agreement takes precedence in relation to the Services.

The Services include creating, branding, scheduling, and posting social media content on platforms such as Instagram, Facebook, and LinkedIn. This Agreement forms the proposal and contract for the Services and is accepted upon subscription.

Please read this Agreement carefully before subscribing. If you do not agree to these terms, you must not use the Services.


SECTION 1 – SERVICE DESCRIPTION AND PAYMENTS

1.1 Service Overview

Outline Social Marketing provides structured social media management, including content preparation, optimisation, scheduling, and posting, based on content supplied by the Client, in line with the selected package.

1.2 Subscription and Fees

The Services are provided on a monthly subscription under one of the following packages:

  • Starter at £299 per month

  • Growing at £449 per month

  • Authority at £549 per month

Each package includes a defined scope of services as described on the OSM website at the time of subscription.

A minimum 3-month commitment applies from the subscription start date (“Commencement Date”).

Payments are due monthly in advance via our payment processor. You must maintain a valid payment method on file and authorise Outline Social Marketing Ltd to charge it for all applicable fees.

1.3 Non-Refundable Fees

All fees are non-refundable except where required by law. No refunds or credits will be issued for dissatisfaction with creative output, posting performance, delays caused by the Client, or failure to provide content on time.

1.4 Late Payments

If payment is not received on time, OSM may pause Services until payment is made in full and may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.


SECTION 2 – CONTENT SUBMISSION

2.1 Deadlines

To ensure timely posting, all content must be submitted by 10:00 PM (UK time) each Thursday for posts scheduled for the following week starting Monday. Late submissions will roll over to the following week.

2.2 Content Requirements

Clients must provide:

  • High-quality images and or videos

  • A short description or context for each post, minimum 1 to 2 sentences

  • Content via Google Drive or email only

WhatsApp submissions are not accepted.

2.3 Post Quantity

The number of posts published each week depends entirely on the usable content provided. OSM does not create placeholder or filler content. If no content is received, no posts will be scheduled.

2.4 Content Reuse

If new content cannot be supplied, the Client must notify OSM by the Thursday deadline. With notice, previously submitted content may be reused in line with the Client’s original instructions.


SECTION 3 – YOUR RESPONSIBILITIES AND CONTENT RIGHTS

3.1 Client Responsibilities

The Client agrees to:

  • Submit content on time and ensure it is accurate and appropriate

  • Provide timely access to relevant social media accounts

  • Ensure content complies with applicable laws and platform policies

OSM is not responsible for missed posts due to late submissions, missing content, or lack of account access.

3.2 Content Usage Rights

By submitting content, the Client grants OSM a worldwide, non-exclusive, royalty-free licence to use, reproduce, adapt, publish, and distribute the content solely for the purpose of providing the Services. This includes sublicensing to social media platforms as required.

This licence ends upon termination of Services, except for content already published, which remains subject to the platform’s own terms.

The Client warrants that they own or have permission to use all submitted content and that it does not infringe third-party rights.

3.3 Indemnification

The Client agrees to indemnify and hold harmless Outline Social Marketing Ltd, its directors, employees, and contractors from any claims, damages, losses, or legal costs arising from submitted content, instructions, or failure to comply with laws or platform policies.


SECTION 4 – CONTENT USE AND LIABILITY

4.1 Content Use

OSM will use Client-supplied materials to create and schedule professional social media posts. Post quality and performance depend on the quality and variety of content provided.

4.2 Limitation of Liability

OSM acts as the Client’s agent in posting content. OSM is not liable for reputational damage, audience response, legal claims, platform penalties, or business outcomes resulting from content supplied or approved by the Client.

Where OSM creates custom content at the Client’s request, reasonable judgment will be applied. Creative dissatisfaction does not entitle the Client to refunds or compensation.


SECTION 5 – SERVICE SCOPE AND CONTENT MANAGEMENT

5.1 Service Allocation

Each package includes a defined weekly time allocation appropriate to the selected plan:

  • Starter includes a lower allocation

  • Growing includes an increased allocation

  • Authority includes the highest allocation with priority handling

Exact allocations are determined by the selected package and confirmed during onboarding. Requests exceeding allocated time may be declined or require a package upgrade.

5.2 Revisions

Changes to scheduled or published posts are not permitted unless required due to an error caused by OSM.


SECTION 6 – POSTING SCHEDULE

6.1 Schedule Setup

Posting frequency and preferred times are agreed during onboarding or in writing. OSM will follow these preferences unless updated.

6.2 Adjustments

If technical issues or platform limitations arise, OSM will notify the Client and adjust scheduling where reasonably possible.


SECTION 7 – ACCOUNT ACCESS AND RIGHTS

7.1 Account Access

The Client must provide appropriate access to social media accounts. Delays or failures in access may result in missed posts, for which OSM is not liable.

7.2 Rights Upon Cancellation

Posting stops immediately upon cancellation.
The Client retains ownership of their original content.
OSM retains ownership of templates, layouts, branding systems, and formatting created during the Services.


SECTION 8 – CANCELLATION AND TERMINATION

8.1 Cancellation by the Client

After the 3-month minimum term, the Client may cancel with 7 days’ written notice before the next billing date by emailing liam@joinosm.co.uk. Late notice results in the following month being charged and non-refundable. Pausing is not available.

8.2 Termination by OSM

OSM may terminate Services immediately if the Client:

  • Repeatedly breaches this Agreement

  • Fails to make payment

  • Provides unlawful or inappropriate content

  • Engages in abusive or unworkable communication

8.3 Payment Issues

Services are paused if payment fails and resume only once payment is received in full.

8.4 Post-Termination

The Client remains liable for all fees incurred up to the termination date.


SECTION 9 – COMMUNICATION

9.1 Contact

All service-related communication should be directed to liam@joinosm.co.uk, unless otherwise agreed.

9.2 Performance Reviews

Performance reporting and strategy check-ins are provided in line with the selected package. Missed or unattended check-ins do not pause Services or create liability for outcomes.


SECTION 10 – FORCE MAJEURE

OSM is not liable for delays or failures caused by events outside our reasonable control, including platform outages, technical failures, or third-party disruptions. No refunds apply in such circumstances.


SECTION 11 – DATA PROTECTION

OSM processes data in accordance with UK GDPR and the Data Protection Act 2018. Publicly available posts may be used in OSM marketing materials and portfolio displays.


SECTION 12 – GOVERNING LAW AND DISPUTES

This Agreement is governed by the laws of England and Wales. Parties agree to attempt good-faith resolution before legal proceedings. Any unresolved disputes fall under the exclusive jurisdiction of the courts of England and Wales.


SECTION 13 – GENERAL PROVISIONS

This Agreement constitutes the entire agreement between the parties. If any provision is deemed unenforceable, the remaining provisions remain in effect. OSM may update these terms by publishing changes online, and continued use of the Services constitutes acceptance.


SECTION 14 – CLIENT RESPONSIBILITIES SUMMARY

  • Submit content by 10:00 PM each Thursday

  • Provide quality media and post context via Google Drive or email

  • Respect package service limits

  • Grant social media account access

  • Provide 7 days’ notice to cancel after the minimum term

  • Maintain valid payment details
